Partner Terms & Conditions
These Terms and Conditions ("Terms") govern participation in the DVyapar Channel Partner Program (the "Program") offered by DVYAPAR TECHNOLOGIES PRIVATE LIMITED, operating under the brand name "DVyapar" ("Company", "DVyapar", "we", "us"). By registering as a Channel Partner or Sub Executive, the applicant ("Partner", "you") agrees to be bound by these Terms in full. If you do not agree, please do not register for or use the Program.
1. Definitions
Channel Partner: An individual or company approved by DVyapar to refer, onboard, and support businesses for DVyapar subscriptions under this Program.
Sub Executive: An individual added by a Channel Partner under their own network to source and onboard businesses; a Sub Executive operates under the Channel Partner and is not in a direct commercial relationship with DVyapar.
Referral Code: The unique code issued to each Channel Partner and each Sub Executive, entered by a business at the time of registration to attribute the onboarding.
Qualified Onboarding: A business registration that (a) used a valid Partner or Sub Executive referral code, (b) has been verified by DVyapar as genuine and non-duplicate, and (c) has met the applicable subscription or trial-activity criteria described in Section 5.
Payout Cycle: The monthly reporting and disbursement process described in Section 6.
2. Eligibility
The Program is open to individuals 18 years or older and registered companies or firms capable of entering into a binding contract under applicable law.
Applicants must complete DVyapar's onboarding and KYC process, including submission of identity proof, address proof, PAN, and bank account details, and GST registration certificate where applicable, before being activated as a Channel Partner.
DVyapar reserves the right to accept or reject any application at its sole discretion, without being obliged to disclose reasons.
Existing DVyapar employees are not eligible to join as Channel Partners or Sub Executives unless separately approved in writing by DVyapar.
3. Program Structure
The Program operates on a two-tier referral structure:
Channel Partner: The primary participant, directly onboarded and approved by DVyapar.
Sub Executive: Added by a Channel Partner within their own team, to expand outreach and onboarding capacity.
Chain of responsibility: The Channel Partner is the principal point of accountability for all Sub Executives added under them. DVyapar's commercial relationship for payout purposes is with the Channel Partner alone; the Channel Partner is responsible for onward payment to their Sub Executives as agreed between them.
No direct DVyapar–Sub Executive relationship: Sub Executives are not entitled to raise payout claims directly with DVyapar. Any dispute regarding a Sub Executive's share of commission is a matter between the Sub Executive and the Channel Partner who added them, and DVyapar shall not be liable to intervene or arbitrate such disputes, save where fraud or policy violation is suspected.
4. Referral Codes & Business Registration
Every Channel Partner and Sub Executive will be issued a unique referral code upon successful activation.
The referral code must be entered by the business at the time of registration on the DVyapar platform for the onboarding to be attributed to the concerned Partner.
Referral codes are non-transferable and must not be shared, sold, or used by any person other than the Partner to whom they were issued.
DVyapar reserves the right to invalidate any onboarding where the referral code was used fraudulently, entered by the business itself without genuine Partner assistance, or used to onboard a pre-existing DVyapar customer.
5. Roles, Responsibilities & Payout Structure
5.1 Onboarding & Support Responsibilities
Upon a business registering against their referral code, the Channel Partner, directly or through their Sub Executive, is responsible for:
- Providing training to the business on adding products and inventory to the DVyapar application.
- Guiding the business on generating invoices and using core billing features.
- Assisting and encouraging the business to subscribe to a paid annual package.
- Providing basic first-level support during the onboarding and trial period, and escalating technical issues to DVyapar support where required.
5.2 Commission & Incentive Structure
Subject to the onboarding being a Qualified Onboarding, payouts are as follows:

Note on the ₹50 trial incentive: this is payable per unique trial account that records a minimum of 3 days' active usage in the application (for example, login, invoice generation, or product entry activity), as measured by DVyapar's system logs. Activity thresholds and qualifying actions are determined solely by DVyapar and may be refined from time to time to prevent misuse.
Non-stacking: the trial incentive and the subscription commission are independent. A business that first qualifies for the trial incentive and later subscribes will separately earn the Channel Partner both payouts, provided each individually meets its qualifying criteria.
Basis of commission: the 30% commission is calculated on the actual subscription amount collected and realised by DVyapar from the business, net of taxes and any discounts or refunds, not on the listed price.
6. Reporting & Payout Cycle
Payouts follow a fixed monthly cycle:

The Channel Partner is responsible for consolidating and submitting the onboarding and activity report for themselves and all their Sub Executives before the 5th of every month, in the format prescribed by DVyapar.
Reports submitted after the 5th may be carried forward to the next month's payout cycle, at DVyapar's discretion.
DVyapar will verify each reported onboarding against system records before qualifying it for payout. Only onboardings confirmed as genuine, non-duplicate, and meeting the criteria in Section 5 will be paid.
Payouts for qualified onboardings will be disbursed by the 10th of the following month via bank transfer to the Channel Partner's registered bank account.
All payouts to Sub Executives shall be made by the respective Channel Partner directly; DVyapar disburses only to the Channel Partner's registered account.
7. Taxes & Statutory Compliance
Channel Partners are solely responsible for their own income tax, GST, where applicable, and other statutory obligations arising from payouts received under this Program.
TDS shall be deducted by DVyapar on payouts as required under applicable law, and a certificate or statement will be made available to the Channel Partner.
Where a Channel Partner is registered under GST and is required to raise a tax invoice for commission earned, payout shall be released only against a valid invoice.
Channel Partners are responsible for correctly reporting and remitting any amounts they pass on to their Sub Executives; DVyapar bears no responsibility for tax compliance between a Channel Partner and their Sub Executives.
8. Code of Conduct
Channel Partners and Sub Executives shall:
- Represent DVyapar's products, pricing, and features accurately and honestly, without making promises or guarantees not authorised by DVyapar.
- Not engage in spamming, misrepresentation, coercion, or any deceptive practice to register a business or trial account.
- Not create fake, duplicate, or self-referred accounts to claim incentives.
- Comply with all applicable laws, including consumer protection and data privacy laws, while interacting with businesses.
Violation: Any breach of this Code of Conduct may result in forfeiture of unpaid commissions, immediate suspension, and or termination from the Program, in addition to any other remedies available to DVyapar.
9. Clawback & Adjustments
If a subscription on which commission was paid is subsequently cancelled, refunded, or reversed within 60 days of payment, DVyapar reserves the right to deduct the corresponding commission from the Channel Partner's future payouts.
If an onboarding is later found to be fraudulent, duplicate, or in breach of these Terms, DVyapar may reclaim the associated payout and take further action under Section 8.
10. Confidentiality
Channel Partners and Sub Executives shall keep confidential all non-public information shared by DVyapar or by onboarded businesses, including pricing structures, business data, and internal processes, and shall not use such information for any purpose other than performing their role under this Program, both during and after their association with DVyapar.
11. Intellectual Property
The DVyapar name, logo, and marketing materials remain the exclusive property of DVyapar. Channel Partners may use approved marketing materials solely for promoting the Program and must not modify DVyapar's branding or create independent marketing collateral without prior written approval.
12. Independent Contractor Relationship
Nothing in these Terms creates an employer-employee, partnership, joint venture, or agency relationship between DVyapar and the Channel Partner or any Sub Executive. Channel Partners and Sub Executives act as independent contractors and have no authority to bind DVyapar in any contract or representation.
13. Term, Suspension & Termination
This Program relationship remains in effect until terminated by either party.
A Channel Partner may exit the Program by providing 15 days' written notice to DVyapar, subject to settlement of any qualified payouts already earned.
DVyapar may suspend or terminate a Channel Partner's participation, and consequently their Sub Executives', immediately and without notice in case of fraud, breach of the Code of Conduct, or violation of these Terms.
Upon termination, all pending referral activity is discontinued. Already-qualified, unpaid commissions as of the termination date will be settled in the next applicable payout cycle, unless termination was for fraud or breach, in which case DVyapar may withhold or forfeit such amounts.
14. Limitation of Liability
DVyapar's total liability to a Channel Partner under this Program, however arising, shall not exceed the total commission actually payable to that Channel Partner in the three months preceding the event giving rise to the claim. DVyapar shall not be liable for indirect, incidental, or consequential losses, including loss of anticipated earnings.
15. Indemnification
The Channel Partner agrees to indemnify and hold DVyapar harmless against any claims, losses, or damages arising from their or their Sub Executives' misrepresentation, negligence, or breach of these Terms in dealings with any business.
16. Amendment of Terms
DVyapar may revise these Terms, the commission structure, or the qualifying criteria from time to time, with such changes effective from the date of communication to Channel Partners via email, app notification, or the partner portal. Continued participation in the Program after such notice constitutes acceptance of the revised Terms.
17. Force Majeure
DVyapar shall not be liable for any delay or failure in performance, including delayed payouts, caused by circumstances beyond its reasonable control, including natural disasters, technical or banking failures, government action, or other events of force majeure.
18. Dispute Resolution & Governing Law
These Terms shall be governed by the laws of India. Any dispute arising out of or in connection with the Program shall first be addressed through good-faith discussion between the parties, failing which it shall be subject to arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration and courts at the registered office location of DVYAPAR TECHNOLOGIES PRIVATE LIMITED, India, having exclusive jurisdiction.
19. Acceptance
By submitting a Channel Partner or Sub Executive registration and or by using a referral code to onboard businesses, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions with DVYAPAR TECHNOLOGIES PRIVATE LIMITED.
